Registered Agents
Unlike sole proprietorships, all corporations (profit and nonprofit), LLCs, and partnerships that are required to file initial and ongoing paperwork with the state in which they do business must have a registered agent. A registered agent is responsible for receiving and forwarding government and legal documents to the company in an accurate and timely fashion. Some examples of documents received and forwarded by registered agents are tax forms from the state and lawsuits (service of process) against the company from private litigants. A registered agent is usually an officer or director of the company or a company that performs registered agent services. (See Chapter 9 on Corporate Governance for more information.)
